This Memorandum of Understanding (MOU) is entered into by the
Livestock Research Institute, Council of Agriculture, Executive
Yuan, Taiwan, with principal office at No. 112, Muchang Road,
Hsinhua District, Tainan City, Taiwan, hereinafter referred to
as LRI; and the National Research Institute of Animal
Production, 2, Sarego Street, 31-047 Cracow, Poland, hereinafter
referred to as IZ PIB. LRI and IZ PIB will hereinafter be
collectively referred to as the “ Parties ”.

ARTICLE 1:
OBJECTIVE
The Parties agree to foster a friendly relationship through
mutual cooperation in research and technology exchange and to
provide a general framework for the collaboration.

ARTICLE 2:
SCOPE OF COLLABORATION
The Parties have reached agreement on the following areas of
cooperation, subject to mutual consent and the availability of
sufficient funding:
2.1 Joint research activities on focused areas of mutual concern
.
2.2 Exchange of researchers/scientists, growers, and other
stakeholders, including short-term cross/study visits and
trainings.
2.3 Participation in scientific seminars and meetings.
2.4 Exchange of scientific materials and other information.

ARTICLE 3:
FINANCIAL ARRANGEMENTS
No financial obligations are assumed under this MOU. The terms
of such mutual cooperation and activity will be mutually
discussed and agreed upon in writing by both Parties prior to
the initiation of a particular program.

ARTICLE 4:
DELEGATION
Each institution may choose to designate an individual to
coordinate this program and all endeavors that may derive from
it. For this purpose, IZ PIB designates Dr. Krzysztof Duda,
Acting Director, and LRI designates Dr. Jeng-Fang Huang,
Director General.

ARTICLE 5:
INTELLECTUAL PROPERTY
Should activities give rise to intellectual property rights, the
Parties shall, prior to carrying out any such activities, enter
into separate arrangements that will specifically provide for
the ownership and management of such rights.

ARTICLE 6:
NON-DISCRIMINATION
The Parties agree to comply with all applicable laws, rules,
regulations and executive orders governing equal employment
opportunity, immigration, nondiscrimination and affirmative
action.

ARTICLE 7:
DURATION & TERMINATION
This MOU shall enter into force on the date of the last
signature and shall remain in force for four years at which time
it will be reviewed for possible extension. Either Party may
terminate this MOU by written notification signed by the
appropriate official of the institution initiating the notice.
However, such notification must be received by the other Party
at least six months prior to the effective date of termination.

ARTICLE 8:
NOTICE
No amendment, consent, or waiver of terms of this MOU will bind
either Party unless in writing and signed by both Parties. Any
such amendment, consent, or waiver will be effective only in the
specific instance and for the specified purpose given. The
Parties to this MOU, by the signatures below of their authorized
representatives, acknowledge having read and understood this MOU
and agree to be bound by its terms and conditions.

IN WITNESS WHEREOF, the undersigned, duly authorized thereto,
have signed this Memorandum of Understanding.

DONE in duplicate in the Chinese, Polish and English languages,
all texts being equally authentic. In any case of divergence of
interpretation, the English text shall prevail.
