ARTICLE 1-SCOPE AND OBJECTIVES
This Letter of Agreement between the Taipei Economic and Cultur-
al Representative Office in the United States(TECRO)and the Ame-
rican Institute in Taiwan(AIT) provides a framework by which AIT
, acting through its designated representative, the Graduate Sc-
hool of the Department of Agriculture (hereinafter referred to
as the Graduate School), can provide a six-week training and ob-
servation program titled the 1999 Executive Development Program
of Senior Civil Servants to TECRO, acting through its designated
representative, the Graduate School, will administer the program
through its International Institute.
ARTICLE 2-AUTHORIZATION
This Letter of Agreement is entered into pursuant to the Taiwan
Relations Act of April 10, 1979, Public Law 96-8(22USC 3301 et
seq.)
ARTICLE 3-RESPONSIBILITIES OF TECRO
TECRO agrees to provide the fixed price program fee of US$637,59
4 according to the following payment schedule(1)first payment of
US$156,006 due April 1,1999;(2)second payment of US$240,794 due
April 19,1999;and(3)third and final payment of US$240,794 due
May 28,1999. The first two payments have already been made. The
check for the third payment should be payable to the American
Institute in Taiwan and sent to the following address:

If TECRO terminates this Letter of Agreement, neither AIT nor
its designated representative, the Graduate School, will incur
new obligations for the terminated portion of the program, and
TECRO shall pay AIT for noncancellable obligations and applicab-
le indirect charges incurred under this letter of Agreement pri-
or to termination.
ARTICLE 4-RESPONSIBILITIES OF AIT
AIT, through its designated representative, the Graduate School,
will provide:
(1) A six-week training and observation study program as descri-
bed in Appendices A and B;
(2) All study materials and access to the library and gym facil-
ities at the University of Manyland College Park and Duke
University;
(3) Meals and housing during the six-week program as described
in Appendices A and B;
(4) Domestic air transportation;
(5) Domestic ground transportation, including;(1)air port pickup
, drop-off, and baggage services;(2)daily transportation to
training and observational visits; and (3)weekend group bus
transportation.
(6) Conceptual interpretation for all training and observational
study tour activities, and for afterclass and weekend activ-
ities; and
(7) Certificates of program completion for all participants.
If the Graduate School , acting as the designated representative
of AIT, fails to provide a specified program element, AIT will,
to the extent that it receives funds for this purpose from its
designated representative, the Graduate School, reimburse TECRO
the estimated cost of that element plus the associated indirect
charges.
ARTICLE 5-MODIFICATIONS
No modification of this Letter of Agreement shall be enforceable
unless such modification has been reduced to writing and signed
by TECRO and AIT, the parties to this letter of Agreement.
ARTICLE 6-RESOLUTION OF DIFFICULTIES
TECRO and AIT shall consult, upon request of either party, rega-
rding any matter related to the terms of this Letter of Agreeme-
nt, and shall endeavor jointly in a spirit of cooperation and
mutual trust to resolve by informal means any difficulties or
misunderstandings that may arise.
ARTICLE 7-EFFECT ON PREVIOUS AGREEMENTS
This Letter of Agreement supersedes any previous agreements on
this subject by the Parties or their designated representatives.
