THE TAIPEI ECONOMIC AND CULTURAL OFFICE IN CANADA (TECO) AND THE
CANADIAN TRADE OFFICE IN TAIPEI (CTOT), hereinafter referred to
as the “ Participants ”,

WISHING to encourage further scientific cooperation in
agriculture and agri-food between Canada and Taiwan and in
support of the Memorandum of Understanding on Agricultural
Cooperation between The Council of Agriculture in Taipei and The
Canadian Trade Office in Taipei, signed at Taipei on 12 December
1994, and to facilitate trade, investment and technical
cooperation,

CONSIDERING principles of trust, equality and mutual benefit,

HAVE REACHED the following understanding:

COOPERATING AGENCIES
1. The Participants understand that the Council of Agriculture
of Taiwan (COA) and the Department of Agriculture and
Agri-Food of Canada (AAFC) will carry out activities under
this Guideline.

PURPOSE OF COOPERATION
2. The Participants understand that this Guideline has the
following objectives:
(i) To support innovation and excellence in agriculture and
agri-food with benefits to society and the economy;
(ii) To foster scientific cooperation among agricultural
scientists with potential benefits for the Participants
respective jurisdiction;
(iii) To provide agricultural researchers with opportunities to
exchange scientific information, ideas and skills.

AREAS AND SCOPE OF COOPERATION
3. The Participants understand that areas for cooperation may
include, but are not limited to:
(i) Research and development leading to new knowledge,
technologies or applications in agriculture and agri-food;
(ii) Work to support international guidelines and standards as
identified by the International Plant Protection
Convention, the World Organisation for Animal Health (OIE),
and Codex Alimentarius as the basis for setting sanitary
and phytosanitary standards / measures; and
(iii) Professional development.

IMPLEMENTATION AND COORDINATION
4. The Participants understand that AAFC and COA will conduct
mutually beneficial joint projects that they have identified
and consented to, exchange of material and information,
public sector initiatives for cooperation in the scientific
aspects of agriculture and the agri-food industry including
the exchange of scientists and specialists, and publication
of studies and reports.
5. The Participants understand that AAFC and COA will pursue
cooperative activities of mutual interest and will implement
those activities in conformity with the laws and policies
applicable to them.

REVIEW MEETINGS
6. The Participants understand that AAFC and COA will meet
periodically, at times and places of their choosing, to
review the priorities and areas of cooperation, recommend
projects, and coordinate administrative matters.

COLLABORATIVE ARRANGEMENTS AND FINANCING
7. The Participants understand that:
(i) AAFC and COA will conduct each activity pursued as a result
of this Guideline pursuant to specific cooperative
arrangements with terms and conditions acceptable to them.
AAFC and COA will bear the costs of their own participation
in all cooperative arrangements and research projects unless
they otherwise decide. All cooperative arrangements and
research projects will be subject to the availability of
funds, resources and personnel of AAFC and COA.
(ii) Each cooperative arrangement will be signed according to
the respective policies of AAFC and COA. AAFC and COA will
be in charge of all activities pursued within their
respective organizations and will keep the Participants
informed of the progress and results.
(iii) Each cooperative arrangement should specify, where
applicable, the following:
(A) the objectives and time period of the cooperation;
(B) the division of tasks and related roles of AAFC and COA;
(C) the management of cooperative activities;
(D) the plan for the progress of the activities;\
(E) resource commitments of AAFC and COA and transfers of
resources including the transfer of personnel and
background technical information;
(F) source of funding of AAFC and COA;
(G) administrative arrangements for amendment, extension,
termination, renewal and the management of the funds; and
(H) disposition of confidential information and intellectual
property.

INTELLECTUAL PROPERTY
8. The Participants understand that, should activities give rise
to intellectual property rights, AAFC and COA will, prior to
carrying out any such activities, enter into separate
arrangements that will specifically provide for the ownership
and management of such rights.

RELATIONSHIP WITH OTHER UNDERSTANDINGS AND ARRANGEMENTS
9. This Guideline does not interfere with any existing
understandings and arrangements between the Participants.

EXCHANGE OF INFORMATION
10. The Participants will consult each other before providing to
any third party information exchanges under this Guideline.
11. The Participants understand that AAFC and COA will resolve
any differences regarding the interpretation and application
of this Guideline through mutual consultation.

COMING INTO EFFECT, DURATION
12. This Guideline will come into effect on the date of its
signature by the Participants and will remain in effect for
a period of four (4) years.
13. The Participants may amend this Guideline upon their mutual
consent in writing.
14. The Participants may terminate this Guideline by giving a
ninety (90) days ’ prior written notice to the other
Participant.
15. The Participants may extend this Guideline upon their mutual
consent in writing.
16. Termination of this Guideline will not automatically affect
cooperative arrangement activities already underway.

SIGNED in duplicate at Ottawa on this 13th day of June 2011, in
the English, French and Chinese languages, each version being
equally valid.
