Gentlemen:

NOTICE DEFERRAL

In order to further extend the date for customer notices regard-
ing minimum commitment for Fiscal Year 2000 and other notices as
specifically set forth below under your Utility Services Contra-
ct, the parties agree that this contract is modified in the fol-
lowing respects only:

For purposes of providing notice to AIT of termination and calc-
ulating termination charges based upon such notice pursuant to
Paragraphs 2. and 3. of Article X-TERMINATION-SUSPENSION, AIT a-
grees to defer the date for providing such notice until April 1,
1991. Such deferral is effective for the aforementioned notice
date only and shall not affect any notices required in future y-
ears.

Further, this deferral shall have no effect on any and all other
notices required in accordance with the terms of this contract.

Please indicate your acceptance of this letter supplement in the
space provided below and return one signed copy to Oak Ridge, T-
ennessee, prior to April 1, 1990.
The second copy is for your retention.
