1.Signed on December 5, 2008; Entered into force on December 5, 2008.
 
The Taipei Economic and Cultural Representative Office in the
United States (TECRO) and the American Institute in Taiwan
(AIT), hereinafter referred to as "the Parties," consent to
enter into a Memorandum of Understanding on Education, in order
to contribute positively to the strengthening of education and
learning-related linkages between the people on Taiwan and the
people of the United States.

The Parties have reached the following understanding:

Paragraph 1: Purposes
The purposes of this Memorandum of Understanding
are to maintain and enhance bilateral co-operation
in educational matters between the people on Taiwan
and the people of the United States, to promote
mutual understanding of such matters and to promote
the pursuit of common benefits and collaborative
development in the education sector.
Paragraph 2: Activities
The Parties will give support, through this
Memorandum of Understanding, to the following
activities:
(i) the promotion of educational and academic
exchanges between individuals, organizations
and educational institutions in the territory
of the authorities represented by TECRO and the
territory of the authorities represented by AIT
;
(ii) the promotion of study opportunities in the
territory of the authorities represented by
TECRO and the territory of the authorities
represented by AIT;
(iii) the promotion of assistance information and
services to those seeking educational
opportunities and scholarships;
(iv) the support of partnerships between
appropriate cooperative organizations in the
territory of the authorities represented by
TECRO and the territory of the authorities
represented by AIT regarding seminars,
workshops, and conferences in the area of
education; and,
(v) the encouragement of joint efforts in language
teaching, which may include such areas as:
teacher training for language teacher,
assistance to the relevant authorities
represented by TECRO and AIT in promoting
language teaching, the organization of relevant
conferences and/or colloquia in the field of
education-related research and language
teaching.
Paragraph 3: Co-ordination and Implementation
TECRO, through its Designated Representative, the
Bureau of International Cultural and Educational
Relations, Ministry of Education, and AIT, through
its Designated Representative, the International
Institute, Graduate School, United States
Department of Agriculture, will be responsible for
coordinating activities and communication
concerning this Memorandum of Understanding. For
TECRO, the Director, Cultural Division, and for
AIT, its Designated Representative's Exchange
Program Administrator, shall be the chief
coordinators for these activities and for
communication.
Representatives of the Parties' respective
Designated Representatives will contact each other
and meet as necessary to discuss matters of mutual
interest related to the cooperation outlined in
this Memorandum of Understanding and to exchange
information on their respective programs, policies
and practices.
The Parties through their Designated
Representatives will promote, facilitate and
encourage, as appropriate, the development of
direct contacts between institutions, and other
organizations and private sectors including
relevant industry or stakeholder associations.
Paragraph 4: Costs
Unless otherwise mutually determined between the
Parties, each Party and Designated Representative
participating in co-operative activities and
initiatives will be responsible for all costs
incurred through its participation.
Paragraph 5: Liability
In implementing co-operative activities under this
Memorandum of Understanding, each Party and its
Designated Representative will be responsible for
its own acts and the results thereof and will not
be responsible for the acts of the other Party or
its Designated Representative and the results
thereof.
Paragraph 6: Intellectual Property Rights
This Memorandum of Understanding does not affect
the intellectual property rights of the Parties and
their Designated Representatives. In proposed
co-operative activities, where it is foreseeable
that questions related to intellectual property
rights might arise, the Parties, in accordance with
the laws applicable in the territories of the
authorities they represent, will mutually determine
in advance the effective protection and allocation
of those intellectual property rights.
In this paragraph "Intellectual Property" will have
the meaning provided for in Article 2 of the
Convention Establishing the World Intellectual
Property Organization, done at Stockholm on 14 July
1967, as amended on 28 September 1979.
Paragraph 7: Transfer of Funds
(a) TECRO and AIT will draw up a yearly budget,
acting through their Designated
Representatives. Based on that budget, TECRO
will transfer funds for recruitment of
teachers, airline tickets, and other
administrative activities relevant to the
educational program to AIT. Payments for
recruitment will be made according to the
schedule described in Paragraph 7 of the
appended Statement of Work.
(b) AIT will transfer to its Designated
Representative funds it receives from TECRO for
the above-noted aspects of this educational
program.
Paragraph 8: General
This Memorandum of Understanding will take effect
on the date of signature by both Parties and will
remain in effect for a period of one program cycle
(or two years). This Memorandum of Understanding
may be extended or amended with the written consent
of both Parties.
This Memorandum of Understanding may be terminated
by either Party at any time, upon six months
written notice being given to the other Party and
its Designated Representative. The termination of
this Memorandum of Understanding will not affect
the validity or duration of activities prescribed
hereunder and initiated prior to such termination,
unless the Parties otherwise mutually determine.
In witness whereof, the undersigned being duly
authorized, have signed this Memorandum of
Understanding.
