1.Signed on February 18, 2009; Entered into force on February 18, 2009;
 
The Bureau of International Cultural and & Educational
Relations, Ministry of Education, Republic of China (Taiwan),
hereinafter referred to as “ the Bureau ”, and the Department
of Education, State of Maine, United States of America,
hereinafter referred to as “ the Department ”, agree to enter
into a Memorandum of Understanding (MOU) on Education in order
to strengthen educational linkages between Taiwan and the State
of Maine.
The Bureau and the Department have reached the following
understanding:
Article 1: Purposes
The Bureau and the Department will pursue the
development of a work plan through which they may
achieve the following purposes: to maintain and
enhance bilateral cooperation in educational
matters; to promote mutual understanding; and to
realize common benefits through collaboration.
Article 2: Activities
The Bureau and the Department agree to pursue the
following activities through this MOU:
1) The promotion of educational exchanges between
individuals and educational institutions in
Taiwan and the State of Maine.
2) The promotion of study opportunities in Taiwan
and the State of Maine.
3) The encouragement of joint efforts in language
teaching, which may include assistance for the
recruitment of language teachers, exchange of
curricular materials, professional development
opportunities, and technical assistance.
4) The promotion of joint projects between educators
in Taiwan and educators in the State of Maine.
Article 3: Coordination and Implementation
1) Officials Responsible for Implementation
Responsibility for coordinating activities and
communication concerning this MOU will be with
the Director General, Bureau of International
Cultural and Educational Relations of the
Ministry of Education in Taiwan, and the
Commissioner of Education, State of Maine, or
their designees.
2) Working Group
A Working Group will be formed by the Bureau and
the Department to develop and oversee a work plan
to implement this MOU. This Working Group will be
co-chaired by the responsible officials or their
designees and may involve participation of other
agencies as deemed appropriate. The Working Group
will meet at least once a year and also
communicate as needed to implement the work plan.
3) Work Plans
An annual work plan will be developed by the
Bureau and the Department to coordinate the
actions described in this MOU. The Working Group
will be responsible for developing and
implementing the annual work plan which will
include the nature and priority of specific areas
of cooperation and the types of activities to be
implemented under this MOU.
4) Involvement of other organizations
The Bureau and the Department will promote,
facilitate and encourage, as appropriate, the
development of direct contacts between and among
institutions and organizations, both public and
private, related to the joint efforts in language
teaching and learning.
Article 4: Costs
Expense issues related to activities described in
this MOU will be negotiated by participants prior to
the start of any activity. Unless otherwise agreed
upon by the Bureau and the Department, each party
participating in cooperative activities and
initiatives will be responsible for all costs of its
participation.
Article 5: Liability
When implementing the cooperative activities under
this MOU, the Bureau and the Department will each be
responsible for its own acts or omissions and the
results thereof, and each party will not be
responsible for the acts or omissions of the other
party and results thereof.
Article 6: Intellectual Property Rights
This MOU does not affect intellectual property
rights of the Bureau and the Department. In proposed
cooperative activities where it is foreseeable that
questions related to intellectual property rights
might arise, the Bureau and the Department, in
accordance with their state and national laws, will
agree in advance regarding the effective protection
and allocation of those intellectual property
rights.
Article 7: General
This MOU shall take effect on the date of the last
signature of both the Bureau and the Department and
shall remain in effect for a period of three years.
This MOU may be extended or amended with the written
consent of both the Bureau and the Department.
This MOU may be terminated by either party at any
time, upon three months ’ written notice being
given to the other party. Any activities agreed upon
and initiated prior to the receipt of a termination
notice may be completed pursuant to that activity
agreement. However, the Bureau and the Department
may mutually agree to terminate an activity early as
the result of a termination notice.

In witness, whereof, the undersigned, being duly authorized by
their respective governments, have signed this Memorandum of
Understanding.
Signed in duplicate in the Chinese and English languages, with
both texts being equally authentic.
