AMENDMENT NO.5 to the AGREEMENT between the TAIPEI ECONOMIC AND
CULTURAL REPRESENTATIVE OFFICE IN THE UNITED STATES and the
AMERICAN INSTITUTE IN TAIWAN for TECHNICAL ASSISTANCE IN AREAS
OF WATER RESOURCE DEVELOPMENT

Upon signature below by both parties involved, the above
Technical Assistance Agreement (Agreement) dated July 13, 1987,
is hereby amended as follows:

Article XII is hereby amended to extend the effective date of
the said Agreement to July 13, 2012, unless terminated earlier
by either party. In the event of termination of the Agreement,
arrangements will be made by both parties for completion of
activities already underway pursuant thereto.

All other articles of the Agree remain in effect.
