Ⅰ Letter form Mr. William A. Brown, Acting Director of American

Dear Dr. Ts'ai: April 14,1979
Please be advised that this Institute desires to comply with the
provisions of the Agreement of April 23,1964, which provides for
the finance of certain educational and cultural exchange progra-
ms. To that end, we propose that the foundation established by
Article 1 of that Agreement be continued as the Foundation for
Scholarly Exchange and, unless we are advised otherwise by you,
the Chairman of the Board of Trustees of the Institute (current-
ly David Dean) will assume the responsibilities and functions f-
ormerly assigned to the Secretary of State by Article 2, 3, 7,10
and 12 of that Agreement. In like manner, the Director of the A-
IT Taipei Office shall perform the responsibilities and functio-
ns formerly assigned to the Chief of Mission and at least three
other employees of the Institute shall be considered qualified
pursuant to Article 5 for appointment to the Board of Directors
of the Foundation. We assume your organization will take on the
responsibilities and perform the functions formerly assigned to
your government and to the Ministries of Education and Foreign
Affairs. (The total number of Board of directors, five from each
side, shall remain as ten as provided in Article 5.)
In all other respects we propose to continue the provisions of
the Agreement in the hope that the educational and cultural exc-
hanges may be continued without disruption.

tion Council for North American Affairs, to Mr. William A. B-

Dear Mr. Brown:
Your letter of April 14,1979 concerning the Foundation of Schol-
arly Exchange, addressed to Dr. Tsai Wei-ping, Chairman of the
Coordination Council for North American Affairs, has been broug-
ht to my attention.
In reply, I wish to inform you that the points made in your let-
ter are acceptable, and we will proceed our contacts on this ba-
sis, with the understanding that the incumbent board members of
the Chinese side will remain unchanged. This letter, together w-
ith your letter, will constitute an agreement between us. The C-
CNAA has been given the responsibility to deal with the AIT on
matters relating to this agreement.
