The Canadin Trade Office in Taipei (CTOT), on behalf of the Tec-
hnology Directorate/Public Works and Government Services Canada
(hereinafter referred to as PWGSC) and the Taipei Economic and
Cultural Office, Canada (TECO), on behalf of the National Center
for Research on Earthquake Engineering/National Science Council,
Taiwan (hereinafter referred to as NCREE) will cooperate in res-
earch on Earthquake Engineering and related topics in accordance
with the following.

Ⅰ OBJECTIVES
The objectives of the collaboration are as follows:
(a) To promote collaborative earthquake engineering research be-
tween research personnel in PWGSC and NCREE;
(b) To facilitate advances in seismic hazard mitigation through
exchange of information and joimt research;
(c) To encourage public awareness of seismic risks and hazards;
(d) To encourage collaboration and to facilitate transfer of te-
chnology between industry and research communities on earth-
quake engineering practice.

Ⅱ FORMS OF COOPERATION
The following types of activities may be undertaken:
(a) Exchange of information on research projects involving the
repair, upgrade and strengthening of structures, particular-
ly those located in high seismicity areas;
(b) Collaborate in the development of associated codes and stan-
dards on Advanced Composite Materials (ACM) and non - struc-
tural components;
(c) Conduct joint demonstration projects through the exchange of
research personnel from PWGSC and NCREE, and organize works-
hops in Canada and / or Taiwan arising froim research resul-
ts in earthquake engineering, fire protection and other sim-
ilar natural hazards;
(d) Joint research projects to be carried out under the general
scope of this Memorandum of Understanding;
(e) Other co - operative activities which would further the obj-
ectives of this Memorandum of Understanding.

Ⅲ LABORATORY TESTING AND COMPUTATIONAL FACILITIES
(a) Large - scal joint testing projects will be conducted in Ta-
iwan using NCREE's shake stable and other testing failities;
(b) Major analytical development work will be carried out in Ca-
nada using PWGSC's and their partner's facilities.

Ⅳ POSSIBLE SUBJECT AREAS OF COOPERATION
The following subject areas are suggested for research topics:
(a) Development of environmentally friendly and cost - effective
methods for the repair and upargad of deteriorated structur-
es for earthquake resistance:
(b) Establishment of durability and performance criteria for ad-
vanced composite materials and the development/enhancement
of codes of practice in the use of these materials in the r-
epair, retrofit and strenghening of existhing structures;
(c) Establishment of construction material performance indicato-
rs and development of a reliability - based service life pr-
ediction method based on performance indicators and probabi-
lites;
(d) Development/enhancement of standards/guidelines for seismic
eavluation and upgrade of operational and functional compon-
ents;
(e) Development/enhancement of comprehensive design guidelines
and code standards on the fire protection of builiding syst-
ems.

Ⅴ FINANCIAL CONDITIONS
No financial commitments are involved in this Memorandum of Und-
erstanding. It is understood that, in future, participation in
secific research activities will be subject to availability of
funds. Under the auspices of this Memorandum of Understanding,
the financial details of specific project activities will be ar-
ranged separately for each undertaking or initiative.

Ⅵ LANGUAGE
The English language will be used for all correspondence and do-
cuments.

Ⅶ THIRD PARTY INVOLVEMENT
In cases where participation under this Memorandum of understan-
ding is facilitated through agreements between either PWGSC or
NCREE and third parties, the provisions of said agreements will
apply only to the parties to the said agreements. However, this
does not exciude the possibility of future secific agreements i-
ncluding both PWGSC, NCREE and interested third parties.

Ⅷ DISPOSITION OF INTELLECTUAL PROPERTY
All technical information developed through joint activities un-
der this Memorandum of Understanding, will be available for use
by both parties, unless otherwise restricted by virtue of intel-
lectual property rights, etc.

Ⅸ CONFIDENTIALITY
(a) Any information of a confidential nature furnished under or
as a result of this Memorandum of Understanding (such as tr-
ade secrets and technical know - how, or information with a-
n obligation concerning its confidentiality requested by ei-
ther party) will be protected at the level of security requ-
ested by the party furnishing such information.
(b) If individuals, participating in joint projects under this
Memorandum of understanding, need to know trade secrets of
confidential information , specifically designated, such in-
dividuals shall agree by a separate binding agreement to re-
frain from disclosing said trade secrets of confidential in-
formation both during the term of this Memorandum of Ungers-
tanding and thereafter, unless otherwise authorized for dis-
closure by the owner of such secrets or information.

Ⅹ COMING INTO EFFECT AND DURATION
This Memorandum of Understanding will come into effect upon sig-
nature by both parties. This memorandum may be amended by writt-
en consent of the parties. Either party may terminate this memo-
randum by providing the other party with three months advance w-
ritten notice. Unless otherwise agreed. such termination will n-
ot affect the validity of any arrangements made under this Memo-
radnum of Understanding. In any event, this Memorandum of Under-
standing, will expire oin the 30th June 2005.

ⅩⅠ COORDINATION
PWGSC and NCREE will each appoint a contact person to co - ordi-
nate activities under this Memorandum of Understanding, with the
intention that there be regular communication between the two co
- ordinators to assist in the implementation of this Understand-
ing.
The contact persons representing their respective organizations
will also servce as the Steering Committee of the co - operative
research program, outlined in this Understanding. The functions
of the Steering Committee include the planning, approving and i-
mplementing of the research projects under this Understanding.
